Brazil Potash Signs MOU with Fictor Energia for ~$200M Power Line Construction and $20M Equity Investment

DENVER, Colo., Jul 15, 2025 (247marketnews.com)- Brazil Potash (NYSE:GRO) entered a non-binding Memorandum of Understanding (MOU) with Fictor Energia, the infrastructure arm of leading Brazilian private equity group Fictor Group. The agreement outlines a strategic partnership for the development of the power transmission infrastructure critical to the company’s flagship Autazes Potash Project.

The agreement calls on Fictor Energia to finance, develop, and operate the estimated $200 million power line that will connect the Autazes Project to Brazil’s electrical grid. The 102-mile (164-km) transmission line, which will supply 300MW of electricity, roughly 80% from renewable sources, is the only major external infrastructure required by the project. The line will be developed under a Build, Own, Transfer (BOT) model, with full ownership transferring to Brazil Potash after 25 years of operation.

In addition to infrastructure funding, Fictor Energia plans to invest $20 million in Brazil Potash equity, structured in two tranches:

  • $2 million upon signing of the definitive agreement
  • $18 million following issuance of the installation license for the transmission line

Both parties will now work to finalize definitive agreements. Fictor Energia will begin preliminary engineering and regulatory activities immediately. While the MOU outlines the intended partnership terms, there is no guarantee that final agreements will be executed or completed as planned. The power infrastructure is targeted for completion by July 2029, in line with Brazil Potash’s projected production start.
